ams divests MEMS microphone interface ASIC design assets to Knowles Corporation

Schellenberg Wittmer advised group companies of SIX-listed ams AG, Premstätten, Austria, leading designer and manufacturer of advanced, high-performance sensor solutions, on the divestment of its industry-leading MEMS microphone interface ASIC design business to NYSE-listed Knowles Corporation, Itasca, Illinois, a global provider of advanced micro-acoustic, audio processing and precision device solutions.

The transaction includes the transfer of a well-respected ASIC design team, related intellectual property rights and sourcing rights for ASIC wafers from multiple foundry partners for a total consideration of USD 58 million.

The ams in-house legal team was led by Group General Counsel Franz Fazekas and Deputy General Counsel Martin Pecher.

The Schellenberg Wittmer team consisted of Lorenzo Olgiati, Karin Mülchi, Stefanie Maurer, Simon Glasl and Jessica Obrist (all Corporate/M&A), Christine Beusch-Liggenstorfer (Employment), Josef Caleff (Real Estate), Philipp Groz (IP) and Roland Mathys (ICT).
