Our Corporate and Commercial group assists clients on all steps of corporate life, from the creation to reorganizations, general corporate law and commercial agreements. Our team has the experience, expertise, resources and commercial understanding to structure, negotiate and lead all commercial transactions. Our experience and expertise together with the size of our team enable us to provide clients with cutting-edge yet comprehensive advice on all types of corporate and commercial structures, from establishment to restructuring, and spin-off or liquidation of business operations.

Expertise

We have substantial experience in representing clients in every stage of their business cycle, including when in distress. Several of our team members serve as members on the boards of directors of various Swiss companies with a strong entrepreneurial background, thus resulting in our legal advice not being detached from business considerations.

  • We advise public and private companies, branch and representative offices, individual entrepreneurs and investors from around the world on company formation, relocation and all other legal aspects of doing business in Switzerland
  • Our team is also providing expert advice to shareholders and boards of directors of privately held and publicly listed companies on all aspects of corporate law, including, corporate governance, fiduciary duties, corporate responsibility (including CSR, ESG aspects, etc.), shareholder activist situations, executive compensation as well as compliance and risk management
  • We handle all aspects of drafting, negotiation, implementation and enforcement of shareholders' agreements and commercial contracts of every kind in all industry sectors, including supply, sales, distribution, agency and servicing agreements, as well as intellectual property and technology transactions and joint ventures and strategic alliances, both domestic and cross-border
  • We advise public listed companies with respect to compliance with stock exchange regulations, including disclosure rules
  • We have extensive experience in corporate restructurings and reorganisations (mergers, spin-offs and split-offs and other strategic alternatives and corporate reorganizations) and, where appropriate in close collaboration with our Restructuring and Insolvency practice, a strong level of capability and responsiveness across corporate crisis management matters in distressed situations

Our team warrants a multi-disciplinary approach on all matters and works closely with all other practice groups such as Mergers and Acquisitions, Restructuring and Insolvency (e.g. specific duties and proceedings for distressed companies and distressed M&A), Banking and Finance (in particular in the context of financings and cash pool arrangements), (Re)Insurance (D&O liability insurance), Employment (e.g. transfers of employees, mass dismissals, social plans and partial liquidation of pension plans) and Tax.
